By creating an account, purchasing access, uploading files, inviting team members, enabling client-facing timeline links, or otherwise using Deadline Monitor, you agree to these Terms of Service.
You are responsible for the accuracy of the information you provide, for protecting your login credentials, and for restricting unauthorized access to your account. If you suspect unauthorized use, you should notify Deadline Monitor promptly.
If you create, manage, or join a team workspace, you understand that certain transaction information may be visible to the manager or authorized administrators according to the role, assignment, and workspace structure of that team environment.
You agree not to use Deadline Monitor to violate law, contractual obligations, court orders, or third-party rights. You may not upload malicious code, attempt unauthorized access, interfere with system reliability or security controls, misuse email functionality, or misrepresent platform output as legal advice or definitive contract interpretation.
Some features may use AI-assisted extraction, OCR, confidence scoring, validation checks, and related processing to help identify dates and terms from uploaded PDFs. These features are assistive tools only. AI output may be incomplete, inaccurate, or inconsistent, especially when scans, riders, addenda, handwritten content, or conflicting documents are unclear.
You are responsible for reviewing all extracted fields and confirming any timeline before relying on it, sharing it, or activating reminders based on it.
Certain features, transaction capacity, credits, workspaces, or plan levels may require payment. Billing may be processed through Stripe or another payment provider used by Deadline Monitor. Subscription features, on-demand credits, pooled team capacity, and related limits may depend on the plan associated with your account or workspace.
Unless expressly stated otherwise, fees are non-refundable once access, credits, or paid plan benefits have been provisioned. Subscriptions may renew automatically until cancelled through the available billing flow or otherwise terminated according to the plan rules then in effect.
You are responsible for applicable taxes, charges, and fees associated with your use of the service, except taxes based on Deadline Monitor's net income.
If a plan is cancelled, expires, downgrades, or becomes delinquent, some features may be limited, paused, or made unavailable until billing status is restored.
By using Deadline Monitor, you agree to receive service-related communications necessary to operate your account and transaction workflows. These may include verification emails, password reset emails, billing notices, timeline notifications, reminder emails associated with transactions you create or manage, and other transactional or relationship communications related to your use of the service.
Deadline Monitor and its software, workflows, branding, design, structure, and related materials remain the property of Deadline Monitor and its licensors, except for user-provided content. Subject to these terms, Deadline Monitor grants you a limited, revocable, non-exclusive, non-transferable right to use the service for its intended business purpose.
You retain rights in the content and documents you upload, but you grant Deadline Monitor and its service providers the rights reasonably necessary to host, process, transmit, analyze, store, and display that content in order to operate, secure, and improve the service.
Deadline Monitor may add, change, remove, suspend, or improve features at any time. The service may experience downtime, maintenance windows, degraded performance, provider interruptions, email delivery delays, extraction failures, or other issues. Deadline Monitor does not guarantee uninterrupted availability, error-free performance, or suitability for every transaction workflow.
Deadline Monitor is provided on an “as is” and “as available” basis to the fullest extent permitted by law. To the fullest extent permitted by law, Deadline Monitor disclaims warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted availability.
To the fullest extent permitted by law, Deadline Monitor will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost data, missed deadlines, lost transactions, reputational harm, or other business losses arising out of or related to the service, even if such damages were foreseeable.
To the fullest extent permitted by law, Deadline Monitor's aggregate liability for claims arising from or related to the service will not exceed the amount you paid to Deadline Monitor during the 12 months preceding the event giving rise to the claim, or $100 if you have not paid Deadline Monitor during that period.
To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Deadline Monitor and its operators, affiliates, service providers, and personnel from claims, losses, liabilities, damages, judgments, and expenses arising out of or related to your content, your use of the service, your violation of these terms, or your violation of law or third-party rights.
These Terms and any dispute arising out of or relating to Deadline Monitor will be governed by the laws of the State of Florida, without regard to conflict-of-law principles. Unless applicable law requires otherwise, exclusive venue for disputes relating to the service will be the state or federal courts located in Miami-Dade County, Florida, and you consent to personal jurisdiction in those courts.
Deadline Monitor may suspend or terminate access if these terms are violated, if payment obligations are not met, if use presents security or abuse risk, or if continued access would expose the service or other users to harm. You may stop using the service at any time, but amounts already due remain payable.
Deadline Monitor may update these Terms of Service from time to time to reflect changes in the service, pricing, legal requirements, or operational practices. Continued use of the service after updated terms become effective constitutes acceptance of the revised terms.
