1. The service
Deadline Monitor is a software platform designed to help real estate professionals organize transaction timelines, track key dates, share client-facing timeline links, send reminders, and manage related workflow information. Certain features may include AI-assisted document extraction, public timeline sharing, team collaboration, or billing-based access controls.
2. Accounts and eligibility
You are responsible for the accuracy of the information you provide when creating or maintaining your account. You are also responsible for protecting your login credentials, restricting unauthorized access, and promptly notifying Deadline Monitor if you suspect misuse of your account.
If you create, manage, or join a team workspace, you understand that certain transaction information may be visible to the manager or authorized administrators according to the role and assignment structure of that workspace.
3. Acceptable use
You agree not to use Deadline Monitor to:
- violate law, regulation, court order, or contractual obligations;
- upload or transmit malicious code, harmful files, or abusive content;
- attempt unauthorized access to accounts, systems, data, or internal tooling;
- interfere with service reliability, rate limits, or security controls;
- use the platform to send misleading, unlawful, or unauthorized communications;
- misrepresent platform output as legal advice or definitive contract interpretation.
4. AI and document extraction
Some Deadline Monitor features may use AI-assisted extraction, OCR, confidence scoring, validation checks, and related processing to help identify dates and terms from uploaded PDFs. These features are assistive tools only. AI output can be incomplete, inaccurate, or inconsistent, especially when contracts, addenda, riders, scans, or handwritten content are unclear or conflicting.
You are responsible for reviewing all extracted fields, verifying deadlines, and confirming any timeline before relying on it, sharing it, or activating reminders based on it.
5. Billing and paid access
Certain features, transaction capacity, credits, or workspaces may require payment. Billing may be processed through Stripe or another payment provider used by Deadline Monitor. Subscription features, on-demand credits, pooled team capacity, and related access limits may depend on the plan associated with your account or workspace.
Unless expressly stated otherwise, fees are non-refundable once access, credits, or paid plan benefits have been provisioned. Deadline Monitor may change pricing, packaging, or feature access in the future, but changes will not retroactively rewrite fees already charged for completed billing periods.
If a plan is cancelled, expires, downgrades, or fails billing, some features may be limited, paused, or made unavailable until billing status is restored.
6. Communications
By using Deadline Monitor, you agree to receive service-related communications necessary to operate your account and transaction workflows. These may include verification emails, password reset emails, billing notices, timeline notifications, reminder emails associated with transactions you create or manage, and other transactional or relationship communications related to your use of the service.
7. Intellectual property
Deadline Monitor and its software, design, content structure, workflows, branding, and related materials remain the property of Deadline Monitor and its licensors, except for user-provided content. Subject to these terms, Deadline Monitor grants you a limited, revocable, non-exclusive right to use the service for its intended business purpose.
You retain rights in the content and documents you upload, subject to the rights necessary for Deadline Monitor and its service providers to host, process, transmit, analyze, and display that content in order to operate the service.
8. Availability and changes
Deadline Monitor may add, change, remove, suspend, or improve features at any time. The platform may also experience downtime, maintenance windows, degraded performance, email delivery delays, or third-party service interruptions. We do not guarantee that the service will be uninterrupted, error-free, or suitable for every transaction workflow.
9. Disclaimers and limitation of liability
Deadline Monitor is provided on an “as is” and “as available” basis to the fullest extent permitted by law. To the fullest extent permitted by law, Deadline Monitor disclaims warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted availability.
To the fullest extent permitted by law, Deadline Monitor will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost data, missed deadlines, lost transactions, reputational harm, or other business losses arising out of or related to the service, even if such damages were foreseeable.
To the fullest extent permitted by law, Deadline Monitor’s aggregate liability for claims arising from or related to the service will not exceed the amount you paid to Deadline Monitor during the 12 months preceding the event giving rise to the claim, or $100 if you have not paid Deadline Monitor during that period.
10. Governing law and disputes
These Terms and any dispute arising out of or relating to Deadline Monitor will be governed by the laws of the State of Florida, without regard to conflict-of-law principles. Unless applicable law requires otherwise, exclusive venue for disputes relating to the service will be the state or federal courts located in Miami-Dade County, Florida, and you consent to personal jurisdiction in those courts.
11. Termination
Deadline Monitor may suspend or terminate access if these terms are violated, if payment obligations are not met, if use presents security or abuse risk, or if continued access would expose the service or other users to harm. You may stop using the service at any time, but amounts already due remain payable.
